Filing articles with the Fayette County Clerk’s Office

Why would I need to file documents in Fayette County Kentucky?

After you form your business with the Kentucky Secretary of State, you are required by statute to submit your formation documents to the county clerk of the Kentucky county where your business resides. Usually, it is where your registered office is located.  Our Kentucky registered office is conveniently located in Lexington.  So if you sign up for registered agent service with us, you’ll have all the information you need to file your articles with the Fayette County Clerk’s Office.

Sole proprietorships can simply submit a certificate of assumed name to the county clerk in the county in which the individual’s principal place of business is located. For all other entities, the Articles of Incorporation or other formation documents must be filed first with the Secretary of State and then the county clerk where the entity maintains its registered agent for service of process.

Sole Proprietorships:
The fee to record the certificate of assumed name is $13.

Other business entities:
Fayette County charges $11 to file articles of incorporation with the county clerk.

Prices listed are for the first three pages. There is an additional $3 per page charge for longer documents.

How to file in Fayette County:

Sole proprietorship:
The form to record your assumed business name can be obtained at the Office of the Fayette County Clerk. It is really basic and won’t even take five minutes to fill out. Remember that it is up to you to make sure your business name is available.

Other business entities:
Once you have your file stamped copy of the articles of incorporation or organization from the Secretary of State, present an exact copy of that document to the Fayette County Clerk for recording.

The county clerk accepts cash, cashier’s check, certified check, business check or money order. Personal checks are only accepted if it is an in-state address and all the information is pre-printed on the check. Make your check payable to Fayette County Clerk.

If you mail documents to the Fayette County Clerk, they will record the document and mail it back to the preparer the next morning. If you go to the office in person, they can record your document right away.
